ANNOUNCEMENT REGARDING MERGER OF COMPANIES

The management boards of "PERFECTDOOR" sp. z o. o. in Kunów IMPERIOLINE sp. z o. o. in Kunów, INTRAVITA sp. z o. o. in Ostrowiec Świętokrzyski, PERFECTGROUP sp. z o. o. in Kunów inform that they intend to merge the companies "PERFECTDOOR" sp. z o. o. in Kunów ( Acquiring Company) with the following companies: IMPERIOLINE sp. z o. o. in Kunów, INTRAVITA sp. z o. o. in Ostrowiec Świętokrzyski, PERFECTGROUP sp. z o. o. in Kunów, IMPERIOLINE spółka z ograniczoną odpowiedzialnością sp.k. in Kunów, INTRAVITA spółka z ograniczoną odpowiedzialnością sp.k. in Ostrowiec Świętokrzyski (Acquired Companies). The merger will take place in accordance with the procedure specified in Art. 492 § 1 point 1 of the Commercial Companies Code, i.e. by way of takeover, i.e. transfer of all assets of the Acquired Companies to the Acquiring Company. At the same time, in compliance with the requirements provided for in Art. 500§2¹ of the Commercial Companies Code, documents regarding the merger, including the merger plan agreed by the Companies of February 27, 2024, are made available on the websites of the merging companies.
